I. MARMAANUVU THE FILM LLP
Marmaanuvu the Film LLP (Hereinafter referred to as the “Creator”/ “Organizer”), is a Limited Liability Partnership, that has been formed by director cum producer Mr. Venkatesh Maha to Produce a Telugu feature film titled “Marmaanuvu” (Working Title). Here, Mr. Venkatesh Maha is working again to bring you an exciting film with elements of dark comedy, mystery, magical realism, and a Psychological thriller titled “Marmaanuvu” (Hereinafter referred to as the “Film”/“Movie”). II. ABOUT THE FILMMAKERS
This film “Marmaanuvu” is going to be directed by Venkatesh Maha. Mr. Venkatesh Maha, is an Indian film Director, Screenwriter, and Actor, best known for his critically acclaimed directorial debut ‘C/O Kancharapalem’ and his second feature film as director, ‘Uma Maheswara Ugra Roopasya’. Before becoming a director, Mr. Maha has helmed several short films and worked in different capacities in the film & television industry. This is your chance to be a part of an awesome production with this fabulous filmmaker by contributing to the ongoing campaign of Reward-Based Crowdfunding. Venkatesh Maha has been striving hard to make the film, his magnum opus yet, come to life. We request you to contribute to the campaign in order to make this movie bigger and better!
III. TYPE OF CROWDFUNDING
This is a Reward-Based Crowdfunding (RBC) campaign, wherein the Organizer is offering rewards to the backers/contributors depending on the amount of contribution made by them.
IV. REWARDS OFFERED
The following are details of the rewards offered to the Backers/Contributors by the Organizer: These rewards are to be dispersed to the backers/contributors in a timely manner, depending on the type of reward. The delivery of rewards will begin post the commencement of the shoot and continue being distributed till the release of the movie.

b) Rs.1000/- (Rupees One Thousand only)
● Exclusive access to a virtual tour of the set of the movie before the world sees it;
● An exclusive downloadable movie poster with an Autograph of the director Mr. Maha;
and
● Acknowledgment in the end credits of the movie.
c) Rs.5,000/- (Rupees Five Thousand only)
● 1 (One) Ticket to a Private Screening of the movie;
● Marmaanuvu’s Mystery Merchandise Pack*;
● Exclusive access to a virtual tour of the set of the movie before the world sees it;
● An exclusive downloadable movie poster with an Autograph of the director Mr. Maha;
and
● Acknowledgment in the end credits of the movie.
d) Rs.10,000/- (Rupees Ten Thousand only)
● 2 (Two) Tickets to a Private Screening of the movie;
● Marmaanuvu’s Mystery Merchandise Pack*;
● Exclusive access to a virtual tour of the set of the movie before the world sees it;
● An exclusive downloadable movie poster with an Autograph of the director Mr. Maha;
and
● Acknowledgment in the end credits of the movie.
e) Rs.25,000/- (Rupees Twenty Five Thousand only)
● A Framed first-look poster of the movie with Your (Contributor’s) Name and Signatures of the Principal Cast and Crew;
● 1 (One) Pass for a set visit during the film shooting on 1 selected date (which will be communicated in advance);
● 4 (Four) Tickets to a Private Screening of the movie;
● Marmaanuvu’s Mystery Merchandise Pack*.
● An exclusive downloadable movie poster with an Autograph of the director Mr. Maha;
and
● Acknowledgment in the end credits of the movie.
f) Rs.50,000/- (Rupees Fifty Thousand only)
● 2 (Two) passes for the song launch event.
● 2 (Two) Passes for a set visit during the film shooting on 1 selected date (which will be communicated in advance)
● 2 (Two) VIP Invites to the Red Carpet Premiere;
● A personalized Marmaanuvu Memento with your (Contributor’s) name on it;
● Marmaanuvu’s Mystery Merchandise Pack*.
● An exclusive downloadable movie poster with an Autograph of the director Mr. Maha;
and
● Acknowledgment in the end credits of the movie.
g) Rs.1,00,000/- (Rupees One Lakh only)
● 4 (Four) passes for the Teaser launch event;
● A meet and greet with our Principal Cast and Crew over a pleasant evening (Date and Time will be communicated well in advance);
● A cool and exclusive signed Booklet of Artwork containing Storyboards, PD Sketches, and Costume Sketches created for the Movie;
● 4 (Four) Passes for a set visit during the film shooting on 2 selected dates (which will be communicated in advance)
● 4 (Four) VIP Invites to the Red Carpet Premiere;
● A personalized Marmaanuvu Memento with your (Contributor’s) name on it;
● Marmaanuvu’s Mystery Merchandise Pack*.
● An exclusive downloadable movie poster with an Autograph of the director Mr. Maha;
and
● Acknowledgment in the end credits of the movie.
* Marmaanuvu Mystery Merchandise Pack will contain goodies and merchandise from the film.
Note: Backers/Contributors interested in contributing the amount excess of Rs.1,00,000/- (Rupees One Lakh only), contact the Organizer for details of Rewards and Monetary returns.
V. SCHEDULE FOR CROWDFUNDING
The campaign is scheduled for a period of 45 (Forty-Five) days, which will commence on 07th September 2023 and conclude on 21 st October 2023. The Organizer reserves the right to extend, modify, or terminate the Campaign period at its discretion. Any such changes will be communicated through the Campaign website.
VI. BUDGET BREAKDOWN
What do we need and where does this money go?
We appreciate the importance of transparency and trust in building a successful campaign. Here is a breakdown of the funding we require and how it will be allocated:
We've set the goal to raise an amount of Rs.6,50,00,000/- (Rupees Six Crores and Fifty Lakhs only) through this campaign. This is the total estimated budget of the movie, which we believe will help us achieve the best results at an optimal cost. By setting this goal, we are hoping to be funded/contributed early to get the movie ready and bring it to you as early as possible.
1. Production Costs:
This includes script development, pre-production expenses, hiring cast and crew, location scouting, equipment rentals, and production insurance. We are committed to delivering a visually stunning film, and these funds will contribute to achieving the highest production value possible.
2. Film Set – Build:
The set(s) serve as an integral part of our vision for the movie. As a majority of the film is set in a single large set, we are committed to building sets that stand out with intricate details, exude beauty, and while always remaining subservient to the story we are striving to tell. The funds raised will be allocated to deliver not only stunning visuals but also stay true to the heart of the film.
3. Special Effects and Visuals:
As the film has elements of fantasy/magical realism and of a psychological thriller film we aim to present the film with top-notch visual effects. A part of the funds will be dedicated to hiring skilled visual effects artists.
4. Post-Production:
Post-production is a crucial phase where we refine the film's overall look and sound. These funds will cover professional editing, color grading, sound mixing, and scoring to ensure a polished and immersive final product that thrills audiences and meets industry standards.
5. Marketing and Distribution:
In order to reach out to the widest possible audiences, we need to invest in marketing and distribution efforts. These funds will be used for promotional materials, securing distribution deals, and launching targeted advertising campaigns. Our goal is to ensure that the film reaches a wide audience, both in theatres and on major digital streaming platforms.
6. Contingency Fund:
We understand the importance of being prepared for unforeseen challenges or additional expenses that may arise during the production process. This contingency fund will serve as a safety net, allowing us to address any unexpected circumstances without compromising on the film's quality or timeline.
We want to assure you that every rupee contributed to our campaign will be allocated thoughtfully and responsibly. Your trust and support are paramount to us, and we are committed to delivering an enthralling cinematic experience.
Creator Right:
The Script of the film/Movie, Story elements, Theme, Screenplay, Cast, and Crew of the film shall be selected and finalized by the Organizer at its sole discretion and the Backers/Contributor does not have any right in any capacity except the rewards as agreed by
the Organizer.
VII. OTHER TERMS AND CONDITIONS:
1. Definitions:
a) Organizer/Creator: A creator in crowdfunding refers to the individual, team, or organization responsible for initiating and managing a crowdfunding campaign. Here M/s. Marmaanuvu the Film LLP, a limited liability partnership incorporated under
the LLP Act, 2008, and having its Registered Office at 8-2-293/82/A/882/B Road No. 46, Jubilee Hill Jubilee Hills Shaikpet Hyderabad, Telangana – 500033 is the Creator/Organizer of the present Crowdfunding Campaign.
b) Contributor/Backer: A Contributor or Backer is an individual or entity that supports the film project “Marmaanuvu” by contributing money to this campaign in exchange for rewards (defined below).
c) Reward-Based Crowdfunding: Reward-based crowdfunding is a type of crowdfunding in which the backers/Contributors receive a tangible item or service in return for their contribution.
d) Rewards: The Contributor/Backer who contributes money to this project is entitled to the rewards (mentioned in Point No. IV - Rewards Offered of these terms and conditions) depending on the amount of contribution made by them.
e) Contribution amount: This shall mean the amount contributed by the Contributors/Backers to this campaign which will start from Rs.500/- and above.
f) Platform: Platform shall mean the website of the Organizer www.marmaanuvu.com, wherein the Organizer is going to run this Crowdfunding Campaign.
g) Fund Amount: Fund amount here shall mean the Organizer’s goal amount (i.e., Rs.6,50,00,000/- (Rupees Six Crores and Fifty Lakhs only)) scheduling to raise through this Reward-Based Crowdfunding campaign.
2. Applicable Terms:
To the fullest extent permitted by law, these Conditions prevail over any unpredictable terms or conditions contained, or referred to, in any correspondence between the Backer/Contributor and the Organizer. The headings in bold in these Conditions, are for convenience only, and shall not affect their interpretation.
3. Legally Binding Terms:
These Conditions create legally binding obligations that, once accepted by the Backer/Contributor, form an agreement between the Creator/Organizer and the Backer/Contributor, which can be relied upon and enforced by the Organizer and/or their advisors against the Backer/Contributor. These Conditions are binding upon the Backer/Contributor and their successors and assignees.
4. Risk Disclosure Notice:
Organizer/Creator does not, expressly or impliedly, directly or indirectly, guarantee or make any representation or warranty concerning the completeness, adequacy, or accuracy of this risk disclosure notice. This brief statement does not disclose all of the risks and other significant aspects of funding/contribution by the backers/Contributors. You should, therefore, carefully study and consider the merits and demerits and take independent professional advice before Contributing. You should undertake transactions only if you understand the nature of the contractual relationship into which you are entering and the extent of your exposure to risk, keeping in mind your financial resources. A decision to fund/contribute is a personal decision by you and no responsibility
for the consequences of that decision is accepted by the Organizer/Creator. To Contribute to this Reward-Based Crowdfunding you need to understand the following:
i) Appropriateness - Before contributing to this RBC we request you to assess whether the rewards provided by us are appropriate for you or not. Any decision on whether to contribute or not and whether or not you understand the risks is yours.
ii) Losing all of Your Contribution - Contribution, whether in new or existing businesses, carries high risks as well as the possibility of high rewards. Accordingly, each Backer/contributor should consider very carefully whether such a contribution is suitable in light of personal circumstances and commitments and the financial resources available to the contributor. The Contributor is not promised any return on contribution except the rewards mentioned above (Point No. IV), and the Organizer does not guarantee the completion, success, or outcome of the film project as a result of the Campaign. Contributors acknowledge that unforeseen circumstances, industry challenges, and creative considerations may impact the project's progress. Contributors understand that their contributions are voluntary and do not entitle them to any rights, ownership in the film, or financial benefits beyond the specified rewards. If the film project you fund/contribute to fails, the Organizer is not responsible to the contributor for any liability arising from the participation in the Campaign. The Organizer shall not be liable for any indirect, incidental, special, or consequential damages.
iii) Backer/Contributor Information - The Backer/Contributor represents and warrants that:
a) All Backer/Contributor Information provided by the Backer/Contributor (during the registration process) is correct and accurate,
b) Such Backer/Contributor Information may be used by the organizer to comply with all applicable legal requirements,
The Organizer hereby represents and warrants that:
The details and documents procured from all the Backers/Contributors are only for KYC purposes (i.e., for legal and identification purposes). The Organizer pledges to maintain secrecy and to not share contributors’ details with any external entities except for legal compliance.
iv) The Capacity of the Backer/Contributor to accept these Conditions - The Backer/Contributor represents and warrants that:
a) They are a living person and they are at least 18 years old,
b) They have full capacity and authority to accept these Conditions and enter into these Conditions without the need for the Organizer to make any further inquiries of the Backer/Contributor,
c) They have full power and authority to carry out the actions contemplated under these Conditions, and
d) They shall use this Platform only for legitimate and lawful activities and not as part of (directly or indirectly) any unlawful activities.
v) Duration of Agreement - The agreement between the Organizer and the Backer/Contributor is created when the Backer/Contributor accepts these Conditions and shall terminate automatically when the Backer/Contributor ceases to be registered on the Platform as a Backer/Contributor (for any reason). Notwithstanding such termination of the agreement between the Organizer and the Backer/Contributor, these Conditions shall remain enforceable by the organizer, and its advisers.
vi) Refusal of Applications and De-Registration - The Organizer reserves the right in their absolute discretion to reject any application by any person/entity to register on the Platform as a Backer/Contributor for any reason whatsoever.
vii) Fail to raise complete Funds through Campaign - In the event the Organizer fails to raise the complete fund amount (6.5 Crore Rupees) through this Crowdfunding campaign, the Organizer plans to raise/contribute the remainder amount through other sources, such that the completion of the film production and release is achieved as scheduled. To the fullest extent permitted by law, the Organizer or any of their respective officers or members will not be liable for any delay by the Organizer performing or failing to perform their obligations hereunder if the delay or failure results from any cause or circumstance whatsoever beyond their reasonable control, including any breach or non-performance of these Conditions by a Backer/Contributor.
viii) Confidentiality - The Backer/Contributor shall not use any confidential information of an Organizer for any purpose other than to perform the Backer/ Contributor’s obligations under these Conditions. All information provided to the Backer/ Contributor by the Organizer whether through this campaign or otherwise, is strictly confidential and must not be shared, transmitted, or otherwise disseminated to any other person.
ix) No Partnership - Nothing in these Conditions is intended to or shall be deemed to, constitute a partnership or joint venture of any kind between any of the parties, nor constitute any party the agent of another party for any purpose. No party shall have
authority to act as agent for, or to bind, the other party in any way other than as specifically set out in these Conditions.
x) Variation or Termination - These Conditions may be amended by the Organizer without any prior approval, such modifications shall be informed to the backers/Contributors from time to time. The Organizer has every right to suspend or terminate the campaign without any reason. The Contributors who have contributed before the termination of the campaign shall be entitled to the rewards as agreed by the Organizer.
xi) No Waiver - No delay or failure by a party in exercising or enforcing any of its rights or remedies under these Conditions will prejudice or restrict its rights, nor will any waiver of rights by a party operate as a waiver of subsequent rights.
xii) Severability - If any of the Conditions are found by any court of competent jurisdiction to be void, illegal, or unenforceable, such provision shall, to the minimum extent required, be deemed to be deleted but the remaining provisions of these Conditions shall continue in full force, and effect insofar as they are not affected by any such deletion.
xiii) Assignment - These Conditions are personal to the Backer/Contributor. The Backer/Contributor shall not assign, novate or otherwise dispose of any rights or obligations under these Conditions or any part thereof, or purport to do so, without the prior consent in writing of the Organizer. The Organizer shall be entitled to assign, novate, or otherwise dispose of its rights under these Conditions or any part thereof to any third party by giving the Backer/Contributor prior written notice of such assignment, novation, or other disposal.
xiv) Whole Agreement - These Conditions set out the entire agreement in relation to any services provided by the Organizer to the Backer/Contributor and supersede all and any representations, communications, and prior agreements (whether written or oral) between them.
xv) Governing Law and Jurisdiction - These Terms are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Hyderabad, Telangana, India.
By accepting these Conditions, the Backer/Contributor acknowledges that the Backer/Contributor has read, understood and agreed all the terms and conditions in full and without qualification.
